1. Acceptance of Terms

Welcome! These Terms of Service (“Terms”) govern your use of the What’s Up Summerville, LLC website located at http://www.whatsupsummerville.com (the “Site”), including all content, features, and services offered on or through the Site.

By accessing, browsing, or using the Site, you agree to these Terms. If you do not agree to these Terms, please do not use the Site.

What’s Up Summerville is a community hub for Summerville, South Carolina, designed to help residents and visitors discover local businesses and events. Our services may include:

  • No infringement. Your submission must not infringe any third-party rights (including copyright, trademark, privacy, or publicity rights).
  • No impersonation. You will not misrepresent your affiliation with any person or business.

5.2 Our Right to Moderate, Edit, or Remove

We may review, edit, refuse, or remove any User Content at any time, with or without notice, for any reason (including if we believe it violates these Terms or could create risk for What’s Up Summerville, LLC or our community). We are not required to publish any submission.

5.3 License You Grant to Us

You keep ownership of your User Content. However, by submitting User Content, you grant What’s Up Summerville, LLC a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, publish, distribute, and otherwise use your User Content in connection with operating, promoting, and improving the Site (including showing it to the public on the Site and related channels).

5.4 Responsibility for User Content

You are responsible for the User Content you submit. We do not guarantee the accuracy of User Content and do not endorse any submission, listing, or event.


6. User Content, Comments, and Reviews

This section applies to any content you post publicly on the Site, including comments, reviews, ratings, photos, and other similar content (“Public User Content”).

6.1 Ownership & License

You retain ownership of your Public User Content. By posting Public User Content, you grant What’s Up Summerville, LLC a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, publish, distribute, and otherwise use your Public User Content in connection with operating, promoting, and improving the Site (including displaying it to other users).

6.2 You’re Responsible for What You Post

You are solely responsible for your Public User Content and for any consequences of posting it. This means you are responsible for making sure your content is accurate, lawful, and that you have all necessary rights and permissions to post it.

6.3 Prohibited Content

You agree not to post Public User Content that includes or promotes:

  • Hate speech or discrimination
  • Harassment, threats, or bullying
  • Spam, scams, or deceptive practices
  • Illegal content or content that encourages illegal activity

6.4 Right to Remove

We may review, moderate, remove, or refuse to display any Public User Content at any time, at our sole discretion, with or without notice.

6.5 Section 230 / No Publisher Role

What’s Up Summerville, LLC is an “interactive computer service” provider as defined under Section 230 of the Communications Decency Act (47 U.S.C. § 230). Public User Content is provided by users, not by What’s Up Summerville, LLC. We are not the publisher or speaker of user-submitted content, and we are not responsible for user posts.

6.6 Indemnification for User Posts

In addition to the indemnification obligations in Section 13, you agree to indemnify, defend, and hold harmless What’s Up Summerville, LLC from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or related to your Public User Content, including any claim that your content violates a law or infringes a third party’s rights.


6. Acceptable Use Policy

When using our Site, you agree NOT to:

  • Submit false, misleading, or fraudulent information
  • Post content that is defamatory, obscene, abusive, or offensive
  • Infringe upon the intellectual property rights of others
  • Distribute spam, chain letters, or unsolicited advertising

8. Intellectual Property

The Site and all content and materials provided by What’s Up Summerville, LLC (including our name, logo, branding, design, text, graphics, and other materials, excluding User Content) are owned by What’s Up Summerville, LLC or our licensors and are protected by intellectual property laws. You own the User Content you submit, subject to the licenses you grant to What’s Up Summerville, LLC in Sections 5 and 6.

8.3 Limited Permission to Use the Site

10. Advertising & Content Standards (Family-Friendly)

What’s Up Summerville, LLC is a family-friendly community platform. We reserve the right to decide what content and advertising is allowed on the Site.

10.1 Family-Friendly Policy

All advertisements, promotions, sponsored content, and other materials displayed on or submitted to the Site must be appropriate for a general audience (“Family-Friendly”).

10.2 Prohibited Advertising and Content Categories

We do not allow content or advertising that includes, promotes, or is primarily focused on:

  • Political content (within reason). This includes political campaign advertising, fundraising, partisan advocacy, and content intended to influence elections or legislation. (Nonpartisan civic information may be allowed at our discretion.)
  • Alcohol.
  • Tobacco/Vaping.
  • Illegal drugs/cannabis.
  • Adult or sexually explicit content.

10.3 Enforcement

We may reject, remove, or request changes to any advertisement or content at any time, with or without notice, in our sole discretion. We do not guarantee placement, reach, timing, or performance of any advertisement.


11. Disclaimer

The Site and all content, listings, and services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, What’s Up Summerville disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that:

  • Listings or event details are complete, accurate, or up to date
  • Events will occur as described (including time, date, venue, pricing, or availability)
  • The Site will be uninterrupted, secure, or error-free
  • Any errors will be corrected

12. Limitation of Liability

To the maximum extent permitted by applicable law, What’s Up Summerville (and our officers, directors, employees, agents, and affiliates) will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, use, or goodwill, arising out of or related to:

  • Your use of (or inability to use) the Site
  • Any errors, omissions, or inaccuracies in listings or content
  • Any event being canceled, rescheduled, moved, or changed
  • Any third-party products, services, or content linked from or referenced on the Site
  • Unauthorized access to or alteration of your submissions

If liability is found and cannot be excluded, our total liability will not exceed one hundred dollars ($100.00).


13. Indemnification

You agree to indemnify, defend, and hold harmless What’s Up Summerville and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney’s fees) arising from:

  • Your violation of these Terms
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Any User Content you submit to the Site

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Dorchester County, South Carolina.

18. Entire Agreement

These Terms constitute the entire agreement between you and What’s Up Summerville regarding your use of the Site and supersede all prior agreements and understandings.


19. Waiver

The failure of What’s Up Summerville to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
